You grant MONW a nonexclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in connection with operating and improving the service.

If you provide feedback, ideas, or suggestions ("Feedback"), you agree that MONW may use the Feedback without restriction and without any obligation to compensate you.

All content and materials on MONW, including text, charts, graphics, logos, icons, images, compilations, and software (collectively, "MONW Content"), are owned by or licensed to MONW and are protected by U.S. and international intellectual property laws. Except as expressly permitted in these Terms, you may not copy, reproduce, modify, distribute, display, perform, or create derivative works from MONW Content without our prior written consent.

License and Access

Subject to these Terms, MONW grants you a limited, revocable, nonexclusive, nontransferable license to access and use the service for your personal, noncommercial use. Any use of MONW not expressly permitted by these Terms is prohibited and will terminate the license.

To the maximum extent permitted by law, MONW disclaims all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, title, and noninfringement. Your use of the service is at your sole risk.

Limitation of Liability

To the fullest extent permitted by law, in no event will MONW, its owner, officers, employees, contractors, affiliates, licensors, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use MONW, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, even if MONW has been advised of the possibility of such damages. MONW’s total liability for any claim arising out of or relating to the service will not exceed one hundred U.S. dollars (USD $100) or the amount you paid (if any) for the service in the twelve months preceding the incident, whichever is greater.

Indemnification

You agree to defend, indemnify, and hold harmless MONW and its owner, officers, employees, contractors, affiliates, licensors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of MONW, your User Content, your violation of these Terms, or your violation of any law or the rights of any third party.

Compliance; Export and Sanctions

You represent that you are not located in or a resident of any country or jurisdiction subject to U.S. embargoes or sanctions and that you are not a person on any U.S. government restricted list. You agree to comply with all applicable export control and sanctions laws.

Beta Features and Changes

We may designate certain features as beta, pilot, or experimental. Such features may be incomplete, may change, or may be discontinued at any time without notice, and are provided "AS IS" without warranties.

DMCA Notice and Takedown

MONW respects intellectual property rights. Arbitration Agreement and Class Action Waiver

Informal Resolution

Before filing a claim, you agree to first contact us at [email protected] and attempt to resolve the dispute informally within 30 days.

Binding Arbitration

Except for claims that may be brought in small claims court and claims for injunctive or equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the use of MONW will be resolved by binding arbitration under the Federal Arbitration Act. The arbitration will be conducted on an individual basis by a single arbitrator. You and MONW agree that the arbitrator shall have the authority to determine arbitrability and to award any relief that would be available in a court, subject to these Terms.

Class Action and Jury Trial Waiver

YOU AND MONW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. YOU AND MONW WAIVE THE RIGHT TO A JURY TRIAL.

Opt-Out

You may opt out of this arbitration agreement within 30 days of first accepting these Terms by sending written notice with your name and contact information to MONW, 550 Mamaroneck Ave, Harrison, NY 10528, USA, or by email to [email protected]. Opting out does not affect other provisions of these Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of New York and the United States, without regard to conflict of laws principles. Subject to the arbitration agreement, the exclusive jurisdiction and venue for any claims that are not subject to arbitration will be the state and federal courts located in Westchester County, New York, and you consent to personal jurisdiction in those courts.

Termination

We may suspend or terminate your access to MONW, in whole or in part, at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, all rights granted to you will cease, but the following sections will survive: User Content and Feedback, Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Arbitration Agreement and Class Action Waiver, Governing Law and Venue, and all other provisions that by their nature should survive.

Modifications to the Service and Terms

We may update, modify, or discontinue MONW, in whole or in part, at any time without liability. We may revise these Terms from time to time. Material changes will be posted on the site or otherwise communicated to you. Your continued use of MONW after the effective date of any changes constitutes your acceptance of the revised Terms.

Electronic Communications and Notices

By using MONW, you consent to receive communications from us electronically, including emails and notices posted on the site. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

Severability; Entire Agreement; Assignment; Waiver; Force Majeure

If any provision of these Terms is found unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and MONW regarding the service and supersede all prior or contemporaneous agreements on the subject matter. You may not assign or transfer these Terms without our prior written consent. Any failure to enforce a provision is not a waiver of our right to do so later. We will not be liable for any delay or failure to perform due to causes beyond our reasonable control, including acts of God, labor disputes, supply chain issues, disruptions of the internet, or actions of governmental authorities.
